1. Agreement to Terms

By accessing or using the website spcl.tech (the "Site") or any services provided by SPCL Tech LLC ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our Site or services.

These Terms apply to all visitors, users, and others who access or use the Site or purchase our services.

2. Description of Services

SPCL Tech LLC provides AI-powered business automation services, including but not limited to:

• Business automation infrastructure (AI receptionist, SMS automation, unified inbox)
• AI marketing and creative tools (image generation, ad deployment, analytics)
• Custom AI application development
• Physical hardware deployment (Mac Mini nodes with OpenClaw browser control)
• Newsletter and content automation services
• AI strategy consulting and dedicated AI team services

Service details, pricing, and availability are subject to change at our discretion with reasonable notice to active subscribers.

3. Subscriptions and Billing

3.1 Subscription Plans

Our services are offered on monthly and annual subscription plans. By subscribing, you authorize us (via Stripe) to charge your payment method on a recurring basis at the agreed-upon rate.

3.2 Payment Processing

All payments are processed through Stripe, a third-party payment processor. We do not store your credit card information. Your payment information is subject to Stripe's terms and privacy policy.

3.3 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We do not provide prorated refunds for partial billing periods, except as required by applicable law.

3.4 One-Time Purchases

For one-time purchases (such as hardware deployments and custom solutions), all sales are final unless otherwise agreed upon in writing. Custom hardware purchases (Mac Mini nodes) are non-refundable once the hardware has been configured and deployed.

4. Hardware Ownership and Physical Deployments

For physical hardware deployments (including Mac Mini nodes and associated infrastructure):

• Ownership: Upon full payment, the client owns the physical hardware outright
• Location Hosting: Optional co-location at SPCL Tech facilities is available for a separate monthly fee
• Configuration: Initial setup, configuration, and training are included in the purchase price
• Ongoing Management: Post-deployment management and maintenance are the client's responsibility unless a separate managed services agreement is in place
• Software Licenses: Any third-party software licenses required to operate the hardware are the client's responsibility to maintain

5. Acceptable Use

You agree not to use our services to:

• Violate any applicable local, state, national, or international law
• Send spam, unsolicited communications, or engage in deceptive marketing practices
• Transmit harmful, offensive, or illegal content
• Infringe upon the intellectual property rights of others
• Attempt to gain unauthorized access to any system or network
• Interfere with or disrupt the integrity or performance of our services
• Use AI-generated content to harass, defame, or deceive individuals

We reserve the right to suspend or terminate your account for violations of these acceptable use policies.

6. Intellectual Property

6.1 Our Content

All content on the Site, including text, graphics, logos, and software, is the property of SPCL Tech LLC or its content suppliers and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written consent.

6.2 AI-Generated Content

AI-generated content created through our services on behalf of clients belongs to the client upon delivery, subject to applicable laws regarding AI-generated works. We retain no ownership of content created specifically for your business.

6.3 Your Content

You retain ownership of any content, data, or materials you provide to us. By submitting content, you grant us a limited license to use, process, and store such content solely for the purpose of providing our services to you.

7. Disclaimers and Limitation of Liability

7.1 Service Disclaimer

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that our services will be uninterrupted, error-free, or that AI systems will produce perfect results.

7.2 AI Accuracy

AI-powered features may occasionally produce inaccurate or unexpected outputs. You are responsible for reviewing AI-generated content before publishing or distributing it. We are not liable for any damages resulting from reliance on AI-generated outputs.

7.3 Limitation of Liability

To the fullest extent permitted by law, SPCL Tech LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services, even if we have been advised of the possibility of such damages. Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless SPCL Tech LLC, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our services, violation of these Terms, or infringement of any third-party rights.

9. Third-Party Services

Our services integrate with third-party platforms (including but not limited to Stripe, GoHighLevel, Make.com, Meta, Google, Vapi.ai, and others). Your use of these third-party services is subject to their respective terms and conditions. We are not responsible for the actions, content, or privacy practices of third-party services.

10. Privacy

Your use of our services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data practices.

11. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify active subscribers of material changes via email or a notice on the Site. Continued use of our services after changes take effect constitutes acceptance of the revised Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which SPCL Tech LLC is registered, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration or in the applicable courts.
